It will do this by investing all, or substantially all, of its assets into the Underlying Fund, which will, in turn, expects to invest the majority of its portfolio in privately originated and privately negotiated investments, predominantly direct lending to United States private companies through (i) first lien senior secured and unitranche loans (including first-out/last-out loans) and (ii) second lien, unsecured, subordinated or mezzanine loans and structured credit, as well as broadly syndicated loans, club deals and other debt and equity securities (and to a lesser extent through ‘Opportunistic Credit’ investments in publicly traded securities of large corporate issuers).
